Welcome to Convam (referred to below as “Convam”, “we”, “us”, or “our”). By accessing or using our website located at https://convam.com (the “Site”), purchasing digital assets, or submitting digital assets for resale, you agree to be bound by these Terms of Service (“Terms”). Please read carefully.
1. The Convam Business Model & Legal Framework
Convam operates a curated, consignment-style digital marketplace for pre-owned software licenses, templates, and digital assets (e.g., assets originally purchased from digital marketplaces).
Our business model operates strictly within the legal framework of the European Union doctrine of software exhaustion, established under the landmark European Court of Justice ruling UsedSoft GmbH v. Oracle (Case C-128/11). This law permits the resale of used or unutilized digital licenses, provided that the original buyer renders their own copy unusable at the time of resale.
2. Terms for Asset Submitters (“Sellers”)
If you submit a digital asset to Convam through our “Sell Your Unused Assets” form, you agree to the following terms:
2.1 Ownership and License Authenticity
You guarantee that you are the legitimate, sole owner of the digital license being submitted and that the license was obtained legally. You must provide valid proof of purchase or a genuine license key upon submission.
2.2 Mandatory Cease of Use & Deletion
In accordance with EU exhaustion laws, you are strictly required to completely uninstall, delete, and cease all use of the submitted asset from all local devices, servers, and cloud storage immediately upon knowledge of sale on Convam. Retaining a working copy of a license sold on Convam constitutes copyright infringement and a breach of these Terms.
2.3 Pricing and Commission Split
- Pricing: Convam retains sole discretion over pricing, with assets standardly listed for resale at approximately 50% of their original market retail price.
- The 70/30 Split: Upon a successful purchase by a buyer, you will receive 70% of the sale price. Convam retains a 30% platform fee to cover listing, secure file hosting, manual review, marketing, and payment gateway processing.
- Instant Payouts: Payouts are routed automatically to your connected payout gateway account the moment a buyer completes a successful checkout.
3. Terms for Buyers
By purchasing a pre-owned digital asset from Convam, you acknowledge and agree to the following:
3.1 What You Are Purchasing
You are purchasing a fully legitimate, secondary perpetual digital license transferred from an original owner under EU law. Convam manually reviews and verifies all files and license keys prior to listing to guarantee their validity.
3.2 Refund Policy
Due to the non-tangible, reproducible nature of digital downloads, all sales are final. We do not offer refunds if you change your mind. However, if a downloaded file is proven to be corrupted, broken, or fundamentally misrepresented on the product listing, you may contact Convam Support within 14 days of purchase to request an account credit or a refund.
4. Intellectual Property
All original content, branding, logos, graphics, and code on the Convam Site are the exclusive property of Convam. The intellectual property rights of the individual resold digital assets remain with their original authors or creators; Convam does not claim ownership over resold assets, but rather facilitates the lawful transfer of their secondary licenses.
5. Limitation of Liability
Convam is provided on an “as-is” and “as-available” basis. While we manually audit every asset submission for quality and legitimacy, Convam makes no guarantees that secondary assets will receive future updates, support, or documentation from the original author or original platform. Convam shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use purchased assets.
6. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Estonia , consistent with European Union directives regarding digital commerce and software copyright exhaustion. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Tallinn/Estonia.
7. Modifications to Service
Convam reserves the right to modify or discontinue, temporarily or permanently, the Site or any platform features with or without notice. We may update these Terms from time to time, and your continued use of the platform constitutes acceptance of those changes.
